Terms and Conditions Effective Date: March 12, 2025

1. Acceptance of Terms

By accessing the Platform, you acknowledge that you have read, understood, and agree to comply with these T&Cs. We reserve the right to modify these T&Cs at any time. Any changes will be communicated to you, and your continued use of the Platform after such notification constitutes acceptance of the updated terms.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Have the legal capacity to enter into binding agreements.
• Not be prohibited from using the Platform under applicable laws.

We reserve the right to refuse service or terminate accounts at our sole discretion.

3. Platform Overview

The Platform is a pilot application allowing Users to engage in prediction-based activities using Base USDC on the Base network. It is a testing version available until March 31, 2025, 23:59:59 UTC, and is subject to limitations and risks inherent in pilot software.

4. User Accounts

• Registration: You must create an account to access certain features. You agree to provide accurate and complete information during registration.
• Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@xbeefi.com if you suspect unauthorized access.
• Termination: We may suspend or terminate your account for violations of these T&Cs, suspected fraud, or illegal activity, without prior notice.

5. Permitted Use and Restrictions

5.1. Permitted Use

You may use the Platform solely for its intended purpose of engaging in prediction activities in accordance with these T&Cs.

5.2. Prohibited Activities

You agree not to:

• Use the Platform for any illegal or unauthorized purpose.
• Attempt to hack, disrupt, or interfere with the Platform's operations or security.
• Reverse-engineer, decompile, or extract the Platform's source code.
• Misrepresent your identity or engage in fraudulent activities.
• Use automated systems (e.g., bots) to interact with the Platform.

Violation of these restrictions may result in immediate account termination and legal action.

6. Transactions and Financial Responsibility

6.1. Deposits and Withdrawals

• Currency: The Platform accepts only Base USDC. Transactions using other currencies or networks are not supported and may result in loss of funds.
• Responsibility: You are solely responsible for ensuring the accuracy of wallet addresses and network compatibility for all transactions. We are not liable for losses due to errors on your part.
• Limits: As a pilot version, we recommend depositing no more than 100 USDC. You assume all risks for exceeding this amount.

6.2. Transaction Finality

All transactions (deposits, withdrawals, and predictions) are final and irreversible once confirmed on the blockchain.

6.3. Fees

You are responsible for all gas fees or transaction costs incurred during your use of the Platform.

6.4. Pilot Closure

The Platform will operate until March 31, 2025, 23:59:59 UTC. Any remaining balances will be transferred to the Public Launch Version under your account. We are not liable for losses or issues during this transfer.

7. Risk Acknowledgment

• Pilot Nature: The Platform is a pilot version and may contain bugs, errors, or security vulnerabilities. You use it at your own risk.
• Cryptocurrency Risks: Base USDC and other cryptocurrencies are volatile. We are not responsible for losses due to market fluctuations.
• No Guarantees: Participation in prediction activities does not guarantee profits. You may lose part or all of your funds.

8. Intellectual Property

• Ownership: The Platform, including its design, software, logos, and content, is owned by xBeeFi or its licensors and protected by intellectual property laws.
• License: We grant you a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes during the pilot period.
• Restrictions: You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent.

9. Disclaimers

• As-Is Basis: The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted operation.
• No Financial Advice: Information on the Platform is not financial advice. You are responsible for your own decisions.
• Event Independence: We do not endorse or affiliate with events or participants featured in prediction activities unless explicitly stated.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including loss of funds, data, or profits.
• Our total liability, if any, shall not exceed the amount you deposited into the Platform, up to 100 USDC.
• We are not responsible for losses due to technical failures, hacks, blockchain issues, or force majeure events (e.g., natural disasters, cyberattacks).

11. Indemnification

You agree to indemnify and hold harmless xBeeFi, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these T&Cs, or infringement of third-party rights.

12. Termination

• By You: You may stop using the Platform at any time.
• By Us: We may terminate or suspend your access at our discretion, with or without cause, and without liability.
• Post-Termination: Upon termination, your license to use the Platform ends, but Sections 8-13 survive.

13. Miscellaneous

• Entire Agreement: These T&Cs constitute the entire agreement between you and xBeeFi regarding the Platform, superseding any prior agreements.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive it.

By using the Platform, you confirm your acceptance of these T&Cs and your understanding of the risks involved.
